Longbow Advisory Group, LLC
Terms of Service
These terms govern your use of longbowadvisorygroup.com and set out the ground rules for advisory engagements with Longbow Advisory Group, LLC. Please read them. If you do not agree, do not use the site or engage our services.
1. Acceptance of these terms
By using this website, submitting a form, or engaging Longbow for advisory services, you agree to these Terms of Service and to our Privacy Policy. If you are acting for a condominium or homeowners association, church, school, company, or other organization, you confirm that you have authority to bind it, and “you” includes that organization.
2. Who we are
Longbow Advisory Group, LLC (“Longbow,” “we,” “us”) is a Pennsylvania limited liability company. We provide two services: independent owner's representative services for property owners and boards facing major capital projects, and land advisory services for Pennsylvania landowners approached by solar, gas, forestry, and mineral developers.
3. Using the website
You may use the site for lawful purposes to learn about our services and contact us. You agree not to:
- Scrape, copy, or republish site content except for your own personal or internal reference.
- Submit false information or impersonate another person or organization.
- Interfere with the site's operation or security, or attempt to access systems you are not authorized to use.
- Use automated tools to submit forms or send messages.
We may change, suspend, or discontinue any part of the site at any time without notice.
4. Forms, calls, and messages
Submitting a form or calling us does not create a client relationship. It is a request for a conversation. By providing your contact information you agree that we may contact you by email and phone about your inquiry. If you check the SMS consent box, you also agree to receive text messages as described in the text messaging section of our Privacy Policy. Consent to texts is not a condition of doing business with us, and you may reply STOP at any time.
5. Advisory engagements
An advisory engagement begins only when both you and Longbow sign a written engagement agreement. That agreement controls the scope, fee, schedule, and any other specific terms of the work. Where it conflicts with these Terms, the engagement agreement governs.
Unless the engagement agreement says otherwise, the following apply to every engagement:
- We advise; you decide. Longbow provides analysis, bid leveling, recommendations, and oversight. The decision to award a contract, approve a change order, accept work, or sign a lease remains yours and your board's.
- We are not the contractor. Longbow does not perform construction work and is not a party to your contract with any contractor, developer, or other company. Those parties are responsible for their own work, licensing, insurance, and performance.
- Our recommendations rely on information available to us. That includes bids, scopes, drawings, and site conditions as presented. Conditions that are concealed or that change after our review may change our recommendation.
- Fees are set at signing. Our fee is fixed in the engagement agreement on the day you sign and does not increase because of change orders or project growth. Payment terms are stated in the agreement.
6. Independence and how we are paid
For owner's representative engagements, Longbow is paid by the owner only. No contractor pays us anything, ever. Contractors earn a place on our vetted list through licenses, insurance, and inspected work, never by paying. Any client may add its own bidder to a bid process, and we will level that bid alongside the others. If you ever learn of a payment or benefit offered to Longbow by a contractor on your project, tell us and we will remove that contractor from the process.
7. Land advisory engagements
For land advisory, the landowner pays Longbow nothing. Our fee is paid by the developer or company that enters into an agreement with the landowner, and the existence and amount of that fee are disclosed to the landowner in writing before any agreement is signed. We assess options across uses and introduce landowners only to companies we have vetted and only at the landowner's request. Any lease, easement, or sale agreement is between the landowner and that company. Landowners should have their own attorney review any such agreement before signing.
8. Your responsibilities
You agree to provide accurate and complete information about your property, project, governing documents, budget, and any bids or offers you have received; to give us reasonable access to the property and to the people who make decisions; to tell us promptly about changes that affect the work; and to pay fees when due under the engagement agreement.
9. Contractors, developers, and other third parties
Our vetting of contractors and companies is based on licenses, insurance, references, and inspected work at the time of vetting. It is a professional judgment, not a guarantee of future performance. You are responsible for your own contracts with those parties, and Longbow is not liable for their acts, omissions, delays, defects, or financial condition. Our production oversight services help you hold contractors to the agreed scope; they do not transfer the contractor's responsibility to Longbow.
10. Intellectual property
The website, its text, design, and the Longbow mark are owned by Longbow. Reports, bid analyses, scopes, and recommendations we prepare for you are for your and your organization's use in connection with the project for which they were prepared. You may share them with your members, board, lender, insurer, or attorney. You may not resell them or present them as your own professional work product.
11. Website provided as is
The website and its content are provided “as is” for general information. We work to keep it accurate but do not warrant that it is complete, current, or error-free, or that it will be available without interruption. Content on the site is not advice for any specific project; advice is provided only under an engagement agreement.
12. Limitation of liability
To the fullest extent permitted by law, Longbow's total liability to you for any claim arising out of the website or an engagement, whether in contract, tort, or otherwise, is limited to the fees you actually paid to Longbow for the engagement giving rise to the claim. Longbow is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost assessments or rents, or the cost of delays, even if advised of their possibility. Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Governing law and venue
These Terms and any engagement with Longbow are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute that is not resolved by good-faith discussion will be brought exclusively in the state or federal courts sitting in Chester County, Pennsylvania, and you consent to the jurisdiction of those courts.
14. General terms
- Changes. We may update these Terms by posting a new version here with a new “Last updated” date. Continued use of the site after a change means you accept it. Changes do not alter a signed engagement agreement unless both parties agree in writing.
- Entire agreement. These Terms, the Privacy Policy, and any signed engagement agreement are the entire agreement between you and Longbow on their subject matter.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign your rights under these Terms or an engagement agreement without our written consent.
